The Johnson & Johnson Law Department is recruiting a Senior Counsel to lead acquisitions, divestitures and other strategic corporate transactions in J&J’s Asia Pacific Region across the company’s three business segments (Consumer, Pharmaceutical and Medical Devices). The position is based in Asia Pacific (preferably in Shanghai or Singapore) and reports directly to a Business Development Legal Group Leader at J&J World Headquarters in New Brunswick, New Jersey. As a Senior Counsel, you will:
Represent Johnson & Johnson and its affiliates on acquisitions, divestitures and other complex strategic transactions (such as joint ventures, license and collaboration arrangements, distribution agreements, other product rights arrangements and internal restructurings) for J&J’s Consumer, Pharmaceutical and Medical Devices business sectors;
Lead legal activities on Asia Pacific transactions, and manage regional elements of global deals;
Advise senior J&J management on business and legal issues;
Collaborate with business development clients, corporate functions, and Law Department colleagues;
Collaborate with and assist in managing local regional relationships with outside counsel, as appropriate;
Conduct and manage legal due diligence workstreams, draft and negotiate transaction documents and assist in transition activities; and
Coach and educate internal business partners on legal and transactional topics.
A JD or LLM degree from an internationally recognized university and applicable bar admission(s) in good standing are required.
A minimum of 5 years of M&A and strategic transaction experience at a leading corporate law firm or an in-house legal department of a multinational corporation is required. Educational or work experience in both the US and Asia Pacific, prior cross-border M&A experience and prior work in life sciences are desirable.
Fluency in written and spoken English is required. Fluency in written and spoken Mandarin is desirable, as is the ability to work in other Asian languages.
Demonstrated ability to work independently and thrive with minimal direct supervision;
Superior ability to analyze, structure and negotiate all elements of the transactions described above and strong drafting skills are required.
Strong communication skills and comfort with counseling senior executives are required.
Excellent collaborative skills, including the ability to coordinate with J&J attorneys, external counsel, business leaders, business development colleagues, finance and tax partners and other advisors and to provide strong ethical leadership are required.
A positive attitude and the skills to work across business functions and cultures with teams located in multiple time zones, as well as the ability to act independently in a fast-paced environment are required.
Flexibility for moderate travel within the Asia Pacific region and occasional travel to the US is required.
