The Johnson & Johnson Law Department is recruiting for a Senior Patent Counsel, Transactions. The role will be based in the greater New York/New Jersey/Pennsylvania area, Boston or the San Francisco area.

The successful candidate will be a member of the Intellectual Property Transactional Team and will support all transactions for the organization from an IP perspective, with a primary focus on the pharmaceutical sector.  The ideal candidate is a highly motivated and energetic individual with experience leading IP transactions and who has excellent communication skills and the ability to collaborate effectively with various legal and business partners.

Primary Responsibilities Include:

•            Strategic counsel and advice regarding licensing, collaboration and acquisition agreements, specifically with respect to how IP is allocated, licensed and developed.

•            Negotiate and draft licensing and collaboration agreements, as well as complex licensing and acquisition agreements with a focus on the intellectual property provisions.

•            Managing and/or collaborating with colleagues with respect to legal and IP due diligence and explaining IP and diligence risks to senior management.

•            Regularly present, advise and interact with key business partners regarding patents and intellectual property related contractual matters and the impact of those matters have on proposed business strategies.

Qualifications

Key Qualifications/Skills/Experience:

•            A minimum of 10 relevant experience is required with 5 years law firm or in-house legal department of a multinational corporation is required.

•            Significant IP transactional experience is required.

•            An undergraduate degree in the chemical or biological sciences or relevant degree is required.

•            A minimum of a law degree from an internationally or nationally recognized university is required along with active registration, in good standing, with a state bar and as a U.S. patent attorney.

•            Educational and/or work experience in the U.S. or with a U.S. based multinational corporation is preferred.

•            Substantial experience advising on legal contractual issues, particularly regarding IP contractual matters, as well as negotiating and drafting license, acquisition and collaboration agreements and providing or managing legal and IP due diligence support.

•            Litigation experience is preferred.

•            Familiarity with the pharmaceutical drug approval process, Hatch-Waxman Act and Biologics Price Competition and Innovation Act.

•            Proven ability to work independently without additional oversight and provide outstanding legal services to a range of senior executives.

•            Self-starter with the ability to support a large number of projects at the same time, a positive attitude, high emotional intelligence and the ability to collaborate effectively with colleagues while working in a highly matrixed and rewarding business environment.

In accordance with applicable disclosure requirements, the anticipated base pay range for this position is $160,000 -$276,000.  The Company maintains highly competitive, performance-based compensation programs. Under current guidelines, this position is eligible for an annual performance bonus in accordance with the terms of the applicable plan. The annual performance bonus is a cash bonus intended to provide an incentive to achieve annual targeted results by rewarding for individual and the corporation’s performance over a calendar/ performance year. Bonuses are awarded at the Company’s discretion on an individual basis.
